As a skilled and experienced special counsel in the Corporate Advisory team, Gareth focuses on mergers and acquisitions, funds management, private equity and other corporate transactions, as well as assisting clients with all manner of commercial contracts. He regularly advises on a range of local and cross-border acquisitions, takeovers, funds management matters, joint ventures and capital raisings, as well as providing general corporate and commercial contracting advice.

Gareth is seen by his clients as a close and trusted adviser, with a keen eye for detail and a focus on achieving outstanding results.

An experienced corporate lawyer, Gareth has worked at a number of leading New Zealand and international law firms. In addition to his time spent practising in New Zealand, Gareth spent four years in Dubai at two top tier English law firms working on a number of significant cross-border mergers and acquisitions, as well as being a key member of the top ranked funds team in the Middle East.

Gareth's experience includes advising:

  • A major Australian private equity fund on the acquisition of a New Zealand pharmaceuticals business.
  • A large commercial contracting business on the structure for its continued growth and the subsequent acquisitions by that business.
  • A bidder in a competitive bid process for the proposed acquisition of a major player in the waste management industry.
  • Shareholders on the proposed sale of all of their company’s shares, including restructuring and resolving shareholder issues to enable the sale to proceed.
  • An NZX-listed entity on its merger with/acquisition of an Australian company, including in relation to the related Takeovers Code issues.
  • A New Zealand manufacturing company on its IPO and listing on the NZX.
  • Several New Zealand companies on the New Zealand aspects of listing on the ASX.
  • On dividend reinvestment plans and employee share option plans.
  • On early stage capital raisings, including the issue of convertible notes, preference shares, options and warrants.
  • On more mature capital raisings, including rights issues, private/institutional placements and other offers in reliance on various exclusions in the FMCA.
