Information and Communications Technology

We advise on the contracting, introduction and implementation of ICT solutions including software licensing, development, configuration and integration of on-premise or managed solutions. Our clients are adopters of agile methodologies and we work with them to manage associated risks and challenges, while maximising the benefits of our clients working in real-time and more collaboratively with their technology providers.

We advise on outsourcing transactions (including the related asset and personnel transfer), as service solutions and the risk management framework to be able to successfully rely on such offerings, and commercialisation of intellectual property.

Where legal issues arise, our team assists with resolution of the disputes at all levels, including through negotiations, mediation, arbitration or court proceedings. Our specialist litigators work closely with our contracting team to advise clients on all aspects of the dispute, recognising that optimal outcomes are multi-faceted.

Our experience includes advising:

  • Ministry of Education in relation to the negotiation and implementation of the resolution with Talent2 in relation to the Novopay system, as well as the set up and transition to Education Payroll Limited – this deal was a finalist in the 2015 NZ Law Awards Consumer Media & Tech Deal of the Year.
  • Projects of large scale and national significance for various government agencies, including in the establishment of key syndicated / AoG procurement of ICT services.
  • Outsourcing / multi-sourcing projects for technology-reliant businesses such as Meridian Energy, KiwiRail, Fonterra, New Zealand Police, Westpac, BNZ and New Zealand Lotteries Commission.
  • Fisher & Paykel Healthcare in relation to implementation of its global ERP system by SAP.
  • Powershop on an agreement with UK-based electricity generator and supplier npower, one of the UK's largest energy retailers, to commercialise its IP by providing a new retail platform based on a software as a service model.
  • Payment Express on an agreement with Westpac for the provision of enhanced real time bank-to-bank payments.
  • Trustee Executors on its new registry system.
  • Farmers Mutual Group in relation to the implementation of its policy administration system.
  • Meridian Energy on the upgrade of its generation control technology systems.
  • New Zealand Qualifications Authority on digitisation of training programmes and examinations.
  • BNZ on its multi-sourcing telecommunications arrangements, including the reorganisation of its technology and telecommunications outsourcing arrangements.
  • Fonterra on the establishment of Global DairyTrade, Fonterra's online trading platform.
